You must be at least 18 years of age to access, view, register on, or use any services of TrackAll.

1. Acceptance of Terms.

TrackAll provides its services to you, subject to the following Terms of Service ("Terms of Service"), which may be updated by us from time to time with or without notice to you. Notices to you may be made via either e-mail or regular mail. In addition, when using particular TrackAll services, you and TrackAll will be subject to any posted guidelines or rules applicable to such services which may be posted from time to time. All such rules are hereby incorporated by reference into the Terms of Service. You agree to review these terms and conditions periodically to ensure that you are aware of any modifications.

2. Description of Service.

TrackAll currently provides users with access to a rich collection of online resources through its network of web properties (the "Service"). Unless otherwise specified, the TrackAll's web sites are for your personal and non-commercial use. Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new TrackAll properties, will be subject to the Terms of Service. You understand and agree that TrackAll assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.

In order to use the Service, you must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must provide all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device.

You agree to pay for Membership or any other services of TrackAll using secure online payment system 2CheckOut (2CO), that is an authorized retailer of goods and services provided by VLADEV.com. It means that we don't have access to your credit card information. Therefore, we do not accept responsibility or liability for the payment process. Also, TrackAll will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of 2CheckOut.

You acknowledge that TrackAll may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that e-mail messages, message board postings or other uploaded Content will be retained by the Service. You agree that TrackAll has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that TrackAll reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that TrackAll reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

TrackAll reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that TrackAll will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

3. Your Registration Obligation.

In consideration of your use of the Service, if you submit registration information to us you agree to provide true, current, accurate and complete information about yourself as prompted by the Service's registration form ("Registration Data"), maintain, and update your information if it changes. If you provide any information that is untrue, not current, inaccurate, or incomplete, or TrackAll has reasonable grounds to suspect that such information is untrue, not current, inaccurate, or incomplete, TrackAll has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

You may receive by email an activation link (URL)  upon completing the registration process. You should click the activation link, or copy it directly into your browser to activate your membership.

4. Member Account, Password and Security.

When you register for some services offered, you may receive password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password, and are fully responsible for all activities that occur under your password and email. You agree to immediately notify TrackAll of any unauthorized use of your password, or account, or any other breach of security, and ensure that you exit from your account at the end of each session. TrackAll cannot and will not be liable for any loss or damage arising from your failure to comply with your own duty to maintain your own security and privacy.

You acknowledge and agree that TrackAll may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to comply with legal process, enforce the Terms of Service, respond to claims that any Content violates the rights of third-parties, or protect the property, rights, or personal safety of TrackAll, its users and the public.

You understand that the technical processing and transmission of the Service, including your Content, may involve transmissions over various networks and changes to conform and adapt to technical requirements of connecting networks or devices.

5. “Third Party”.

You further acknowledge and agree that content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

You also acknowledge and agree that TrackAll will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on the content, advertising or business practices of linked third-party websites. If you decide to access and use linked third-party websites, you agree that you do so at your own risk. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software.

"Third party" advertisers on TrackAll may place or read cookies on your browser. You can disable these cookies, the "help" portion of the toolbar on most browsers will tell you how. Keep in mind, if you set your browser to disable cookies, you may not be able to access certain areas on the Website.

In some cases, we may enter into a promotional relationship with another company in which we prominently display their banner, brand name, trademarks or link on pages of the Website.

Your personally identifiable information will never be shared with any "Third Party".

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. TrackAll is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by TrackAll of the site or any association with its operators. TrackAll has no control over such sites and resources, so you acknowledge and agree that TrackAll is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. TrackAll Software is owned by TrackAll (VLaDEV.com) and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by TrackAll for use in accessing the Service.

You agree not to share, reproduce, rent, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, your right to use the Software or access to the Service.

You may not use the Software for any purpose that is unlawful.

Unauthorized or/and illegal uses of the Website, including collecting email addresses of Members by electronic or other means for the purpose of sending unsolicited email will be investigated, and appropriate legal action will be taken.

Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by TrackAll or advertisers, you agree not to modify, lease, loan, rent, sell, distribute or create derivative works based on the Service or its Content, in whole or in part.

7. Liability.

The material may contain technical inaccuracies, typographical errors, and out of date information, including Members that may be inaccessible for a certain period or not remain active. You acknowledge and agree that TrackAll disclaims any liability for the content of any data posted on the Website or transferred between Members or stored by Member via the services provided by TrackAll, including attached and inserted files, also for the conduct, whether online or offline, of any Member or user of the Website. You understand and agree that TrackAll disclaims any liability for any advice, help, support and/or answers provided here in by anybody from the staff. TrackAll assumes no responsibility for any interruption, error, omission, defect, deletion, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. TrackAll is not responsible for any problems or technical malfunction of any telephone network or lines, providers or servers, software, computer equipment, computer online systems, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Website or combination thereof, including damage or injury to Members or/and users to any other person's computer resulting from or related to participating or downloading materials in connection with TrackAll or its Service. You also understand and agree that neither Services provided no information obtained on TrackAll should be used as a part of any forensic evaluation. You understand that confidentiality, privacy, and security cannot be 100% guaranteed over the internet. Under no circumstances will TrackAll be responsible for any personal injury or death that results from anyone's use of TrackAll or its Service or any interactions between users of the Website, whether online or offline.

To provide secure environment here our System of correspondence block all suspicious attached and inserted files that may contain software viruses or any other computer code, programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. Nevertheless TrackAll doesn't guarantee safety of any files posted on the Website or transferred between Members or stored by Member via the services provided by TrackAll.

You agree to indemnify and hold TrackAll, its officers, agents, subsidiaries, partners and employees, harmless from any liability, claim, loss or demand, including reasonable attorney's fees, made by any third party due to or arising out of your violation of Privacy Policy of TrackAll.

TrackAll cannot guarantee and does not promise any specific results from use of the Website and/or the Service. In other words, TrackAll makes no warranty that: a) the Service and/or the quality of any products, information, or other material purchased obtained by you through the Service will meet your requirements and expectations, b) the service will be uninterrupted, error-free, secure, or timely, c) the obtained results will be accurate or reliable, d) any errors in the Software or any other product of TrackAll will be corrected.

You acknowledge and agree that any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

You acknowledge and agree that TrackAll shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, loss of profits, goodwill, use, data or other intangible losses (even if TrackAll has been advised of the possibility of such damages), resulting from: a) the use of inability to use the Service, b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into, through or from the Service, c) unauthorized access to or alteration of your transmissions or data, d) statements or conduct of any Third Party on the Service, or e) any other matter relating to the Service.

8. Special Admonitions for International Use.

Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the the country in which you reside and to comply with any other local laws affecting the transmission or posting of Content or affecting the privacy of persons.

9. Public Content Posted to TrackAll.

TrackAll does not claim ownership of the materials you provide to TrackAll (including feedback and suggestions) or post, upload, input or submit to any TrackAll's Web Site or its associated services. However, by posting, uploading, inputting, providing or submitting your information you are granting TrackAll, its affiliated companies and necessary sublicensees permission to use your information in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display/publish, publicly perform, reproduce, edit, translate, and reformat your information.

10. Code Modifications.

2nd (or 3rd) party modifications prohibited without permission of TrackAll. Any 2nd (or 3rd)  party modification can cause warranty void. We do not offer free support for 2nd (or 3rd) party code modifications and we may decline to support if the problem is a result of the modification.

11. Upgrades.

Your use of the Software upgrade is subject to the terms of this license, and you agree by your installation and use of this copy of the Software to voluntarily terminate your earlier license and that you will not continue to use the earlier version of the Software or transfer it to another person or entity. We provide from 3 to 12 months (depending on the product) free updates of our scripts. Updates that require file uploading, setting file permissions and setting server variables in files must be performed by the client. Updates that require additionally code modification will be performed by TrackAll for free.

By installing, copying, downloading, accessing, or otherwise using the TrackAll's Software, you are confirming your acceptance of this Software and agree to be bound by the terms and conditions of this Terms of Service.

12. Indemnity.

No compensation will be paid with respect to the use of your information, as provided in these Terms of Service. TrackAll may update or remove any information at any time in TrackAll's sole discretion.

You agree to indemnify and save TrackAll, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from all claims, damages, reasonable attorneys' fees, including expenses of whatever nature made by any third party due to or arising out of Content you submit, post to or transmit through the Service, your use of the Service, your connection to the Service, your violation of the Terms of Service, or your violation of any rights of another.

13. Termination
You agree that TrackAll, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if TrackAll believes that you have violated or acted inconsistently with the letter or spirit of the Terms of Service. TrackAll may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Terms of Service may be effected without prior notice, and acknowledge and agree that TrackAll may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. You also agree that TrackAll will not be liable to you or any third-party for any termination of your access to the Service.

14. Software Available on The Web Site.
Software that is made available to download from the TrackAll web sites, excluding software that may be made available by end-users through a Communication Service, is the copyrighted work of TrackAll, Inc. and/or its suppliers. Your use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms.

For any Software not accompanied by a license agreement, TrackAll hereby grants to you, the user, a personal, non-transferable license to use the Software for viewing and otherwise using the particular TrackAll web site in accordance with these Terms of Use, and for no other purpose provided that you keep intact all copyright and other proprietary notices.

All Software is owned by TrackAll and/or its suppliers and is protected by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

The license applies to updates, upgrades, plug-ins and any other additions to the original Software provided by TrackAll, unless TrackAll provides other terms along with the additional software.

15. Complaints and Violations:

To resolve a complaint regarding the TrackAll service, you should first contact TrackAll. Please report any violations of the Terms of Service and Privacy Policy to our Customer Support center.

TrackAll will have the right to remove or modify without any sending notice to you any part of your membership information (e.g., username, profile's content, letters etc.) that violates, or is alleged to violate our Privacy Policy. We may also terminate your membership for the same reason without any sending notice to you. If your membership was terminated because you have violated Terms of Service or/and Privacy Policy of TrackAll you will not be entitled to any refund of unused subscription fees. Even after membership is terminated, this Terms of Service will remain in effect.

We cannot guarantee that each Member is at least 18 years old, nor do we accept responsibility or liability for any content, communication or other use or access of the Website by persons under 18 years old in violation of our Privacy Policy.

If you are dissatisfied with any of the TrackAll's web sites, you can discontinue using the TrackAll's web sites.

You agree to be bound by the terms and conditions of TrackAll for as long as you continue to be a Member. If you do not agree to the terms, please do not register for the TrackAll service.
